Terms of Service

1. Quote Expiration: The prices in this quotation are firm, subject to acceptance within 30 days. All quotations may be subject to negotiations after 30 days. This pricing may change after 30 days.
2. Order Acceptance: All orders are subject to acceptance by the manufacturing principle.
3. Order Entry: Please note that any purchase order should be made out to Wagner Equipment Co., Inc.
4. Engineering: The above pricing does not include any fees for engineering. If any additional engineering fees occur, Wagner Equipment Co., Inc. will provide further details.
5. Sales Tax: Federal, state, and local taxes are not included in this price. Applicable taxes will be added to the invoice unless a tax-exempt form specific to this equipment is supplied before shipment. If a tax exemption form is supplied after shipment, we will deduct sales tax from the invoice.
6. Freight: This equipment is quoted FFA, F.O.B. factory, unless otherwise stated in the body of the quotation. Estimated freight, if applicable, is only an estimate and subject to change depending on the amount charged when product is shipped. We provide freight estimates as a courtesy to you and your customers.
7. Shipment Damage: If equipment is damaged during shipment, the responsibility lies with the receiver of the shipment to mark any damages on the Bill of Lading or other provided documents. If the package is received by the contractor or end user without any written note of damage observed, the manufacturer, shipping company, and/or Wagner Equipment are not responsible for replacement or repair of such equipment. Please make sure to thoroughly check each piece of a shipment to ensure everything is satisfactory.
8. Payment Terms: Standard Payment terms for the sale are: Net 30, F.O.B. factory, or FFA. Unless otherwise stated in the body of the quotation. Based on credit criteria.
9. Previous Quotes: This quote replaces all previous quotes on this project, written or verbally implied.
10. Excluded Items: Unless otherwise stated, we have not included start-up, extra engineering services, site visits, refrigeration specialties (TXV’s, filter dryers, etc.), gas regulators, or any other items not mentioned in the quotation.
11. Start-Up: Wagner Equipment Co., Inc. is a manufacturer’s representative and does not employ service technicians or start-up technicians. Wagner Equipment employees are trained in start-up support for select manufacturers. If factory start-up is required, please request a price quote to have a factory tech visit the jobsite for start-up assistance or overview.
12. Warranty: All equipment and labor warranties are included from the manufacturer and not Wagner Equipment Co., Inc. Warranties vary by manufacturer, and best practice is to reach out to Wagner regarding specific product warranty. Warranty is dependent on the manufacturer’s satisfaction that a manufacturing or material defect has caused the inoperability of the equipment and not normal use. Warranties on purchased parts such as electric motors, pumps, and coils are limited to the terms of warranty extended by our supplier. The manufacturing warranty is dependent on receiving completed start-up sheets provided during shipment by a factory-trained start-up technician.
13. Suitability for Use: The equipment provided in this quotation is guaranteed to meet the standards discussed between Wagner Equipment and Buyer. If variables differ from design, Wagner Equipment does not guarantee the correct operation of equipment and takes no responsibility for misuse of equipment.
14. Limitation of Liability and Exclusion of Remedies: The above warranty shall constitute the Buyer’s sole remedy with respect to the goods furnished hereunder. The buyer understands and acknowledges that the seller shall not be liable for any special, consequential, punitive, or incidental damages of any kind, regardless of the legal theory or causes of action by which claims for such damages are advanced, whether or not the seller has been advised of the possibility of such damages.
15. Back Charges: Our manufacturers will not accept a back charge unless they are made aware of the “back charge issue” prior to the expenditure or the field work being performed. All back charges must be pre-approved in writing by the manufacturer.
16. Custom Design Units: On “semi-custom” or “custom” equipment, terms may be different, requiring a customer deposit upon approved submittals and a second partial payment upon shipment, with final payment “Net 30 days”. Please note the final acceptance of an order is based on the principal’s terms and conditions.
17. Approved Submittals: In an effort to reduce misunderstandings and clarify our scope of supply, our manufacturers require approved submittals prior to the release of all orders.
18. Tariffs: Import tariffs are not included in quoted pricing if applicable.
